5. Payment Terms

Unless otherwise agreed, all payments are due according to the terms specified in your proposal or invoice. Late payments may result in paused work, interest charges, or termination of Services.

6. Cancellations & Refunds

Due to the strategic and custom nature of our work, all payments are non-refundable once work has begun. You may cancel your agreement at any time with written notice, but you will be responsible for all work completed up to the date of cancellation.

7. Disclaimers

Our Services are provided “as is” and “as available.” While we strive for excellence, we do not guarantee specific business outcomes or revenue increases. Member Ace disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, Member Ace shall not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of our Services.

Our total liability shall not exceed the amount paid by you for Services in the 3-month period preceding the claim.

Both parties agree to maintain the confidentiality of any proprietary or sensitive business information shared during the course of our engagement.
